Financial & Tax Due Diligence
Buying a company, investing or getting ready to sell? We tell you what the numbers really say: sustainable earnings, hidden liabilities and tax exposures, in a report you can negotiate with.
Most deal problems are found in the detail: one-off income presented as recurring, unrecorded end-of-service obligations, VAT positions that won't survive an FTA review, or related-party arrangements that disappear after completion.
Our due diligence is led by ex-Big 4 partners with UAE tax depth, so financial and tax findings come together in one practical report, with the issues ranked by how much they should move the price.
What we do for you
Quality of earnings
Normalised EBITDA: one-offs, owner costs and related-party items separated from sustainable profit.
Net debt and debt-like items
Borrowings, unpaid tax, end-of-service benefits, deferred income and other items that should reduce the price.
Working capital analysis
Normal working capital levels established to support the completion mechanism.
Tax due diligence
Corporate Tax registration, filings and elections (including QFZP and Small Business Relief), VAT compliance and transfer pricing exposures.
Vendor due diligence
Sell-side preparation that finds the issues before buyers do, so you protect value.
SPA support
Findings turned into price adjustments, warranties, indemnities and completion-accounts mechanics.

Frequently asked questions
What does financial due diligence cover?
Typically quality of earnings, net debt and debt-like items, working capital, and a review of key financial risks. We also cover UAE tax exposures in the same engagement.
Why does tax due diligence matter more in the UAE now?
Since Corporate Tax took effect in June 2023, targets may have registration, filing, QFZP, transfer pricing or Small Business Relief errors that become the buyer's problem after completion, alongside VAT exposures.
How long does due diligence take?
Usually two to six weeks, depending on the size of the target, the quality of the data room and the scope agreed.
Do you do vendor due diligence?
Yes. Sell-side diligence helps owners find and fix issues before buyers raise them, which protects value and shortens the deal timeline.
